Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "Customer," or "User") and PSM Innovation LLC, a Texas limited liability company (Filing No. 806406333), with its registered address at 7023 Baitland Drive, Missouri City, Texas 77459 ("PSM Innovation," "we," "us," or "our"), governing your access to and use of the CoreMatrix AI Construction Intelligence Platform and all related websites, applications, APIs, and services (collectively, the "Platform").

1. Acceptance of Terms

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, Cookie Policy, and Disclaimer, each incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not access or use the Platform.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Platform. The Platform is intended for business and professional use by real estate developers, investors, lenders, owners, contractors, and advisors.

3. Platform Covered & Scope of Service

These Terms apply to the CoreMatrix AI Construction Intelligence Platform — a pre-development intelligence and construction cost-estimation platform that generates feasibility-grade estimates, financial analysis, market intelligence, and decision-support reports across 21 building types, 31 US markets, and 219 global cities. We may modify, enhance, suspend, or discontinue any feature of the Platform at any time.

4. Accounts & Registration

You must provide accurate, current, and complete registration information and keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@corematrix.us of any unauthorized use. We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

5. Subscriptions, Fees & Billing

Certain features require a paid subscription. Fees, billing cycles, and plan inclusions are described at the point of purchase. Subscriptions renew automatically unless cancelled before the renewal date. All fees are stated in U.S. dollars and are exclusive of applicable taxes. Refunds and cancellations are governed by our Refund & Cancellation Policy.

6. Nature of Outputs — Feasibility-Grade Only

CoreMatrix AI provides feasibility-grade estimates and AI-driven intelligence for informational purposes only. All outputs — including cost estimates, developer budget breakdowns, pro formas, IRR calculations, market analysis, risk scores, blueprint readings, and AI-generated narratives — are designed to support, not replace, professional judgment. They are NOT investment advice, NOT professional engineering, NOT an appraisal, and NOT a substitute for licensed architectural, engineering, contractor, legal, accounting, or financial review. AI-based document and drawing reading may contain errors; you are solely responsible for verifying all extracted values and outputs. Independent professional review is required before any use in permitting, bidding, financing, acquisition, or investment decisions.

7. Customer Data & License to Us

You retain all ownership of the data, drawings, and documents you upload ("Customer Data"). You grant us a limited, non-exclusive license to process Customer Data solely to provide and improve the Platform, subject to our Privacy Policy and Data Processing Addendum. You represent that you have all rights necessary to upload and process Customer Data.

8. Intellectual Property

The Platform, including all software, cost models, algorithms, data taxonomies, user interfaces, text, graphics, logos, and the marks "CoreMatrix AI" and "PSM Innovation," are the exclusive property of PSM Innovation LLC and protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, reverse engineer, decompile, distribute, resell, or create derivative works from any part of the Platform without our prior written consent.

9. Third-Party Data & Services

The Platform integrates third-party and public data sources, including FRED (Federal Reserve Economic Data), the U.S. Treasury, U.S. Census Bureau, HUD, and BLS. We do not warrant the accuracy, completeness, or timeliness of third-party data and are not liable for it. Your use of third-party integrations may be subject to their respective terms.

10. Prohibited Conduct

You agree not to misuse the Platform as described in our Acceptable Use Policy, including unauthorized access, scraping, interference, or unlawful use.

11. Disclaimers of Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, error-free, or that outputs will be accurate or reliable.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSM INNOVATION LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR RELIANCE ON ANY OUTPUT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless PSM Innovation LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your Customer Data, or your violation of these Terms or applicable law.

14. Term & Termination

These Terms remain in effect while you use the Platform. We may suspend or terminate your access at any time for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and governing law) shall survive termination.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use after changes become effective constitutes acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in the State of Texas. You and PSM Innovation LLC waive any right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction in Texas to protect intellectual property or confidential information.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and other policies referenced herein, constitute the entire agreement between you and PSM Innovation LLC regarding the Platform and supersede all prior agreements. Severability. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision. Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or utility failures, or third-party service outages. Notices. We may provide notices to you via the Platform or the email associated with your account; you may send notices to support@corematrix.us. Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and PSM Innovation LLC. Headings. Section headings are for convenience only and have no legal effect.

Privacy Policy

This Privacy Policy explains what information we collect, how we use it, with whom we share it, and the rights available to you.

1. Information We Collect

Information you provide: name, business email, organization, account credentials, billing details, and any project data, drawings, or documents you upload. Information collected automatically: usage data, device and browser information, IP address, log data, and cookies. Project & analysis data: inputs you enter and outputs the Platform generates.

2. How We Use Information

We use information to: provide, operate, and improve the Platform; generate the analyses and reports you request; process payments and manage subscriptions; provide customer support; ensure security and prevent fraud; communicate service updates; and comply with legal obligations. We do not sell your personal information, and we do not share it with advertisers.

3. Legal Bases for Processing (GDPR)

Where the EU/UK GDPR applies, we process personal data on the bases of: performance of a contract; your consent; our legitimate interests in operating and securing the Platform; and compliance with legal obligations.

4. AI Processing of Uploaded Documents

When you upload drawings or documents, they may be processed by AI services to extract project parameters. Uploaded content is used only to deliver the analysis you request and is handled under confidentiality and security controls. You are responsible for ensuring you have the right to upload such content.

5. Data Sharing & Subprocessors

We share data only with vetted subprocessors who support Platform operations (e.g., cloud hosting, AI inference, email, and payment processing), each bound by confidentiality and data-protection obligations. We may disclose data if required by law, to enforce our Terms, or to protect rights and safety. A current list of subprocessors is available on request.

6. Data Retention

We retain personal and project data for as long as necessary to provide the Platform, comply with legal obligations, resolve disputes, and enforce agreements. You may request deletion of your data as described below.

7. Your Privacy Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, port, or restrict processing of your personal data, and to object to or withdraw consent. California residents (CCPA/CPRA) have rights to know, delete, correct, and opt out of "sale"/"sharing" (we do not sell or share personal information as defined). EU/UK residents (GDPR) have the rights listed above and the right to lodge a complaint with a supervisory authority. To exercise any right, contact support@corematrix.us.

8. International Data Transfers

We are based in the United States. If you access the Platform from outside the U.S., your data may be transferred to and processed in the U.S. We implement appropriate safeguards for such transfers where required by law.

We maintain administrative, technical, and physical safeguards designed to protect your data, including encryption in transit and at rest, access controls, and monitoring. See our Security Overview for details. No system is perfectly secure, and we cannot guarantee absolute security.

10. Children's Privacy

The Platform is intended for business use and is not directed to individuals under 18. We do not knowingly collect personal information from children.

11. Changes to This Policy

We may update this Policy from time to time. Material changes will be posted on the Platform or communicated by email with an updated effective date.

Acceptable Use Policy

1. Prohibited Activities

You may not: (a) gain or attempt unauthorized access to the Platform, accounts, or systems; (b) probe, scan, or test the vulnerability of the Platform or breach security or authentication measures; (c) reverse engineer, decompile, disassemble, or attempt to extract source code, models, or algorithms; (d) interfere with, disrupt, or overload the Platform or its infrastructure; (e) upload unlawful, infringing, defamatory, or malicious content or code; (f) bulk-scrape, harvest, or systematically extract data except as expressly permitted; (g) resell, sublicense, or commercially exploit the Platform without authorization; (h) use the Platform to violate any applicable law or regulation; or (i) rely on Platform outputs for high-impact decisions without appropriate independent professional review.

2. Customer Responsibilities

You are responsible for: ensuring all Customer Data is collected and uploaded lawfully and with all required rights and consents; maintaining the confidentiality of your account credentials and appropriate user access controls; reviewing and verifying AI-generated outputs before relying on or acting upon them; and ensuring your use complies with all applicable laws, professional standards, and licensing requirements.

3. AI & Automated Output Use

The Platform produces feasibility-grade, AI-assisted outputs. You agree not to represent Platform outputs as certified professional work product (e.g., a stamped engineering drawing, certified appraisal, or guaranteed construction bid) and to obtain independent professional review where required.

4. Fair Use & System Integrity

You agree to use the Platform in a manner that does not impair its performance, security, or availability for other users, and to comply with any rate limits, usage quotas, or fair-use guidelines we establish.

5. Enforcement

We may investigate suspected violations, remove or disable offending content, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate. Violations may result in immediate termination without refund.

All CoreMatrix AI outputs — including construction cost estimates, developer budget breakdowns, site-development and entitlement costs, pro formas, IRR and NPV calculations, market and risk analysis, zoning and code information, blueprint readings, and AI-generated narratives — are feasibility-grade and provided for informational and decision-support purposes only.

2. Not Professional Advice

Outputs are NOT, and must not be relied upon as: investment advice; an appraisal or valuation; professional engineering, architectural, or design services; legal, tax, or accounting advice; or a construction bid or guaranteed cost. CoreMatrix AI is designed to support — not replace — the judgment of licensed professionals.

3. AI & Data Limitations

The Platform uses AI models and third-party/public data. AI-based reading of drawings and documents may misinterpret values, and data sources may be incomplete, delayed, or inaccurate. You are solely responsible for independently verifying all inputs, extracted quantities, and outputs before relying on them. Built-in validation guardrails reduce but do not eliminate the possibility of error.

4. Independent Review Required

Before using any output for permitting, bidding, financing, acquisition, underwriting, or investment decisions, you must obtain independent review by qualified, licensed professionals (e.g., architects, engineers, general contractors, attorneys, appraisers, and financial advisors).

5. No Warranty; No Liability

Refund & Cancellation Policy

This policy describes subscription billing, cancellation, and refund terms for the CoreMatrix AI platform operated by PSM Innovation LLC.

1. Subscriptions & Auto-Renewal

Paid plans are billed in advance on a recurring (monthly or annual) basis and renew automatically until cancelled. The applicable price, billing cycle, and inclusions are presented at checkout.

2. Free Trial

Where a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial ends, your plan converts to a paid subscription at the then-current rate. No payment card is required to begin a trial unless stated otherwise.

3. Cancellation

You may cancel at any time from your account settings or by contacting support@corematrix.us. Cancellation stops future renewals; your access continues through the end of the current paid billing period. We do not provide prorated refunds for partial billing periods except where required by law.

4. Refunds

Fees are generally non-refundable once a billing period begins. We may, at our discretion, issue refunds for duplicate charges, verified billing errors, or where required by applicable consumer-protection law. To request a refund, contact support@corematrix.us within 30 days of the charge with your account details.

5. Price Changes

We may change subscription pricing with advance notice. Changes apply to the next billing cycle after notice; continued use constitutes acceptance.

Data Processing Addendum

This Data Processing Addendum ("DPA") supplements the Terms of Service and applies where PSM Innovation LLC processes personal data on behalf of a Customer in connection with the CoreMatrix AI platform.

1. Roles

For Customer Data containing personal data, the Customer acts as the data controller (or business) and PSM Innovation LLC acts as the data processor (or service provider), processing personal data only on the Customer's documented instructions.

2. Scope & Purpose of Processing

We process personal data solely to provide the Platform and the analyses requested by the Customer, for the duration of the agreement.

3. Confidentiality

Personnel authorized to process personal data are bound by confidentiality obligations.

4. Security Measures

We implement appropriate technical and organizational measures — including encryption in transit and at rest, access controls, and monitoring — as described in our Security Overview.

5. Subprocessors

The Customer authorizes our use of vetted subprocessors (e.g., cloud hosting, AI inference, email, payment processing), each bound by data-protection obligations no less protective than this DPA. A current list is available on request.

6. Data Subject Requests

We will reasonably assist the Customer in responding to data-subject requests to exercise rights of access, correction, deletion, restriction, or portability.

7. International Transfers

Where personal data is transferred internationally, we apply appropriate safeguards required by applicable law.

8. Breach Notification

We will notify the Customer without undue delay after becoming aware of a personal-data breach affecting Customer Data.

9. Return & Deletion

Upon termination, we will delete or return Customer personal data in accordance with the Terms and applicable law, subject to legal retention requirements.
